1. Acceptance of Terms

By accessing or using the SellerUncle marketplace (including web applications and mobile applications), operated by Zahita Labs LLP, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions and our Privacy Policy.

If you do not agree with any part of these terms, you must not use our platform.

2. Definitions

• "Platform" refers to the SellerUncle website (www.selleruncle.com), mobile applications, related APIs (including any SellerUncle APIs), and all associated digital services operated by us.
• "User" refers to any individual or entity who accesses or uses the Platform, including buyers and sellers.
• "Listing" or "Ad" refers to any product, service, or media posted for sale or promotional display on the Platform.
• "Seller" refers to a User who posts Listings or syncs commercial media on the Platform.
• "Buyer" refers to a User who browses, enquires about, or purchases items from Listings.
• "Third-Party Social Media Data" refers to content, images, video assets, text, or metrics imported into the Platform via external APIs, including but not limited to Meta Platforms, Inc. (Facebook, Instagram Reels).
• "We," "Our," or "Us" refers to Zahita Labs LLP, the operator of SellerUncle.

3. User Accounts

3.1 Eligibility

• You must be at least 18 years of age to use our Platform.
• You must provide accurate and complete information during registration.
• You are responsible for maintaining the security and confidentiality of your account credentials.
• Only one account is permitted per individual or business entity, unless explicitly authorised by us.

3.2 Account Verification

• Phone number verification via One-Time Password (OTP) is required for all accounts.
• Google sign-in may be used as an alternative authentication method.
• Additional identity or business registration verification may be required for certain advanced seller features or corporate account tiers.

3.3 Account Responsibilities

• You are responsible for all activities conducted under your account.
• Notify us immediately at support@selleruncle.com if you suspect unauthorised access.
• We reserve the right to suspend or terminate accounts that violate these terms.

4. Marketplace Rules

4.1 Prohibited Items & Content

The following items and content are strictly prohibited on our Platform:

4.2 Seller Responsibilities

Sellers must provide accurate, truthful, and complete descriptions and high-resolution images for all Listings. You must ensure listed items are legally owned and available for transfer. Sellers must honor listed prices, maintain responsive communication through in-app channels, and comply with applicable consumer protection laws.

4.3 Buyer Responsibilities

Buyers must provide accurate communication information, conduct due diligence before finalising transactions, communicate respectfully via the in-app chat system, and report suspicious listings or fraudulent activity.

5. Listings, Content, and Third-Party Media Integration

5.1 Listing Guidelines

• Listings must be cataloged in their appropriate categories.
• Images must represent the genuine state of the item.
• Duplicate or spam listings are strictly prohibited.

5.2 Proprietary Content License

You retain ownership of all native content (text, images, descriptions) you post directly on our Platform. By posting content, you grant Zahita Labs LLP a non-exclusive, worldwide, royalty-free, sublicensable licence to use, display, reproduce, and distribute your content in connection with operating, optimizing, and promoting the Platform.

5.3 Meta & Instagram Integration (e.g., Instagram Reels)

The Platform provides integration features allowing Users to link their professional or business Facebook and Instagram accounts via Meta APIs.

• Data importation, caching, and display: By linking your social media accounts, you explicitly authorise the Platform to import, temporarily cache, and display synced media assets and associated data (including Instagram Reels, posts, video content, captions, and aggregate engagement metrics) for operational purposes (such as showcasing synced content on your profile or Listings, improving discovery, and analytics).
• User warranties: You represent and warrant you have the rights and consents needed to import and display such Third-Party Social Media Data, and that doing so does not infringe any third-party intellectual property, privacy, or publicity rights.
• Third-party terms and policies: Your use of integrated features is conditioned upon continuous compliance with the Meta Terms of Service, Instagram Terms of Use, and Meta Developer Policies (and any successor policies).
• Revocation / disconnect: Disconnecting your account or revoking API permissions stops future imports. Previously cached data is handled according to Section 10, our Privacy Policy, and our retention/deletion standards.

5.4 Content Moderation

We reserve the right, but assume no obligation, to review, edit, filter, or permanently remove any native Listing or imported Third-Party Social Media Data that violates these Terms, our internal community guidelines, or applicable laws, without prior notice or liability.

6. Transactions and Communication

Our in-app messaging framework is provided to facilitate communication. While sharing direct contact information (such as mobile numbers) may be used to finalise logistics, users acknowledge that sharing sensitive personal information is done at their own risk.

6.3 Payment Processing

Subscription fees and premium add-on charges are processed through Cashfree, our secure, PCI-DSS compliant payment gateway partner. We do not store financial instruments, credit card numbers, or banking credentials on our local servers. Refund eligibility for any paid services is subject to our refund policy.

7. Subscriptions and Premium Features

Basic listing functionality is available to registered users, with premium visibility enhancements, boosted ad slots, and advanced sync limits available via tiered subscriptions and add-ons. All fees are transparently outlined on our subscription interfaces, denominated in Indian Rupees (INR), and inclusive of relevant statutory tax adjustments.

8. Intellectual Property Rights

The digital architecture of SellerUncle—including source code, core databases, proprietary algorithms, specialized UI/UX design components, branding elements, and official logos—is the exclusive proprietary property of Zahita Labs LLP and is protected under Indian and international intellectual property laws.

You may not copy, reproduce, modify, distribute, scrape, reverse engineer, or create derivative works from any part of the Platform without our express written permission.

9. Account Termination & Data Deletion

9.1 By the User

You may deactivate or initiate an account deletion request at any time through your account settings (or by contacting support). Upon confirmed deletion, active Listings and linked API sync connections will be terminated.

9.2 By the Company

We reserve the right to suspend or terminate access to the Platform without prior notice if a user breaches these Terms, engages in fraudulent or deceptive practices, or creates potential liability to the platform or its ecosystem partners.

10. Data Security, Breach Mitigation, and Regulatory Compliance

10.1 Global Framework Alignment

While the Platform operates primarily within Indian jurisdiction, we maintain security and privacy standards inspired by global frameworks (such as the GDPR) and enforce statutory protections under India's Digital Personal Data Protection (DPDP) Act, 2023, as applicable.

10.2 Data Minimisation & User Rights

We aim to collect and process personal data that is relevant and necessary for platform operations. Subject to applicable law, Users may:

• Withdraw consent for optional processing (e.g., location, notifications, or third-party integrations) via device/app settings or by disconnecting integrations.
• Request account deletion and/or deletion of personal data, subject to lawful retention requirements.

10.3 Data Incident and Leak Management Protocol

We implement administrative, technical, and physical safeguards (including HTTPS/TLS encryption for data in transit and secure token-based authentication) to protect user information like verified mobile numbers and authentication details. However, no digital system can be fully guaranteed against sophisticated malicious attacks. In the event of an unauthorised data breach or systemic security incident affecting personal user information:

• Containment & mitigation: isolation, auditing relevant logs, and patching verified vulnerabilities.
• Notification policy: notifying affected Users without undue delay and, where required, reporting to relevant authorities.
• Remedial action: cooperating with law enforcement/cybersecurity agencies when appropriate.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Zahita Labs LLP (and its directors, employees, affiliates, and partners) shall not be liable for any indirect, consequential, punitive, special, or incidental damages (including loss of revenue, profits, data, or reputation) arising from or related to:

• Cybersecurity incidents, unauthorised access, or malicious attacks (including third-party data leaks such as exposed mobile numbers);
• Third-party outages or API/service interruptions (including Meta/Instagram API changes or downtime);
• Any transactions or disputes between Users.

Our aggregate liability for any claim shall not exceed the actual amount you paid to the Platform during the twelve (12) months immediately preceding the claim.

13. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or regarding platform usage shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

14. Amendments to Terms

We reserve the right to modify or replace these Terms at any time. Material modifications will be announced through in-app dashboards and/or email notifications. Continued use after publication constitutes acceptance of the updated Terms.
